PLEASE READ THESE TERMS OF USE CAREFULLY. BY REGISTERING, ACCESSING, OR USING

THE SERVICES PROVIDED BY BEATWORK AI, INC. (“BEATWORK AI,” “COMPANY,” “WE,”

“OUR,” OR “US”), YOU (“CUSTOMER,” “USER,” OR “YOU”) ACKNOWLEDGE THAT YOU HAVE

READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS OF USE (THE

“AGREEMENT”). IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY

CEASE ALL ACCESS OR USE OF THE SERVICES.

1. Definitions

1.1 “Services” means the cloud-based software platform, including but not limited to

AI-powered phone answering, AI chat, review management, CRM, workflow automation,

analytics, integrations, APIs, and any related services provided by Beatwork AI.

1.2 “Customer Data” means all electronic data, text, messages, communications, or other

information submitted by Customer or its End Users to the Services.

1.3 “End Users” means employees, contractors, clients, or other individuals who access the

Services through Customer’s account.

1.4 “Order Form” means the online or written ordering document specifying the Services

purchased, including subscription terms, pricing, and billing frequency.

1.5 “Confidential Information” means non-public information disclosed by one Party to the

other, whether orally, in writing, or electronically, that is designated as confidential or would

reasonably be understood as confidential.

2. Acceptance and Scope

2.1 This Agreement governs all access and use of the Services by Customer and its End

Users.

2.2 Any additional terms including the Privacy Policy, Data Processing Agreement, and Order

Forms are incorporated herein by reference.

2.3 In case of conflict, the following order of precedence applies: (i) Order Form, (ii) Data

Processing Agreement, (iii) Privacy Policy, (iv) these Terms.

3. Eligibility and Authority

3.1 By using the Services, Customer represents that it has full legal capacity and authority to

enter into this Agreement.

3.2 If Customer is an entity, the individual accepting these Terms represents that they are

duly authorized to bind the entity.

3.3 The Services are intended for business use only and may not be used by individuals

under the age of eighteen (18).

4. Account Registration and Security

4.1 Customer must provide accurate, current, and complete information when registering

for an account.

4.2 Customer is responsible for maintaining the confidentiality and security of its

credentials and preventing unauthorized access.

4.3 Customer shall immediately notify Beatwork AI of any unauthorized use of its account.

4.4 Beatwork AI reserves the right to suspend or terminate accounts suspected of fraud,

abuse, or unlawful use.

5. Subscription, Fees, and Taxes

5.1 Services are provided on a subscription basis, as outlined in the applicable Order Form.

5.2 Subscription fees are billed in advance, on a monthly or annual basis, and are

non-refundable except where required by law.

5.3 Annual plans are billed upfront; discounts apply only as explicitly stated in the Order

Form.

5.4 Customer is responsible for all applicable taxes, including but not limited to sales tax,

VAT, GST, or similar.

5.5 Late payments may result in suspension of Services until all outstanding amounts are

paid.

5.6 Beatwork AI reserves the right to change fees with thirty (30) days’ notice prior to

renewal.

6. Term and Termination

6.1 This Agreement commences on the Effective Date and continues until terminated in

accordance with these Terms.

6.2 Customer may terminate by written notice or account cancellation. Termination does

not relieve payment obligations for the current term.

6.3 Beatwork AI may suspend or terminate Services immediately upon: (a) Customer’s

breach of these Terms, (b) non-payment, (c) illegal activity, or (d) request by law

enforcement.

6.4 Upon termination, Customer’s access ceases, and Beatwork AI may delete Customer Data

after thirty (30) days.

6.5 Provisions which by their nature should survive termination shall remain in effect,

including but not limited to intellectual property, confidentiality, disclaimers,

indemnification, and limitation of liability.

7. Acceptable Use Policy

7.1 Customer shall not, and shall not permit End Users to: (a) copy, modify, translate, or

create derivative works of the Services, (b) reverse engineer, decompile, or attempt to

extract source code, (c) use the Services for spam, phishing, or unlawful marketing, (d)

transmit harmful code, viruses, or malware, (e) infringe on intellectual property, privacy, or

publicity rights.

7.2 Customer shall comply with all applicable laws, including but not limited to TCPA,

CAN-SPAM, GDPR, and CCPA when using the Services.

7.3 Beatwork AI reserves the right to investigate and suspend accounts for violations.

8. Intellectual Property

8.1 Beatwork AI owns all rights, title, and interest in the Services, including software,

trademarks, logos, trade secrets, and documentation.

8.2 Customer retains ownership of Customer Data. Beatwork AI is granted a limited,

non-exclusive license to process such data solely to provide and improve the Services.

8.3 Nothing herein grants Customer rights to use Beatwork AI’s trademarks without prior

written consent.

9. Data Protection and Privacy

9.1 Beatwork AI will process Customer Data in accordance with its Privacy Policy and,

where applicable, a Data Processing Agreement (DPA).

9.2 Customer is responsible for obtaining all necessary consents from End Users.

9.3 Customer must not input regulated health information subject to HIPAA, payment card

data subject to PCI-DSS, or other restricted data categories without prior written approval.

10. Confidentiality

10.1 Each Party agrees to maintain the confidentiality of the other Party’s Confidential

Information.

10.2 Confidential Information does not include information that is: (a) publicly available, (b)

independently developed without reference to the other Party, (c) disclosed by a third party

lawfully, or (d) required by law to be disclosed.

11. Service Availability

11.1 Beatwork AI shall use commercially reasonable efforts to ensure uptime but does not

guarantee uninterrupted service.

11.2 Planned maintenance or third-party outages may impact availability.

11.3 No service level agreement (SLA) applies unless expressly agreed in writing.

12. Beta Features

12.1 From time to time Beatwork AI may release beta or experimental features. These are

provided as-is without guarantees and may be modified or removed at any time.

12.2 Customer acknowledges that beta features may contain errors and are provided solely

for testing purposes.

13. API License

13.1 If Customer accesses the API, they are granted a limited, non-exclusive,

non-transferable license to use it solely to connect with the Services.

13.2 Customer must comply with usage limits and may not abuse or resell API access.

13.3 Beatwork AI reserves the right to suspend or revoke API access for abuse or security

concerns.

14. Disclaimer of Warranties

14.1 The Services are provided as-is and as-available.

14.2 Beatwork AI disclaims all warranties, whether express, implied, or statutory, including

but not limited to warranties of merchantability, fitness for a particular purpose,

non-infringement, and title.

14.3 Beatwork AI does not warrant that the Services will be error-free, uninterrupted, or

meet Customer’s expectations.

15. Limitation of Liability

15.1 To the fullest extent permitted by law, Beatwork AI shall not be liable for any indirect,

incidental, consequential, special, exemplary, or punitive damages, including loss of profits,

data, or goodwill, arising from or related to this Agreement.

15.2 Beatwork AI’s total liability in any claim shall not exceed the fees paid by Customer in

the twelve (12) months preceding the claim.

15.3 Customer acknowledges that these limitations are an essential basis of the bargain.

16. Indemnification

16.1 Customer agrees to indemnify, defend, and hold harmless Beatwork AI, its affiliates,

officers, directors, employees, and agents against any claims, damages, liabilities, costs, and

expenses arising from: (a) Customer’s breach of these Terms, (b) Customer Data including

intellectual property or privacy violations, (c) misuse of the Services, (d) violation of law by

Customer or End Users.

16.2 Beatwork AI shall promptly notify Customer of any claim for which it seeks

indemnification and permit Customer to control the defense and settlement thereof,

provided that Beatwork AI may participate in such defense with counsel of its choosing at

its own expense.

17. Export Compliance

17.1 Customer shall comply with all applicable U.S. export control and sanctions laws.

17.2 The Services may not be used in embargoed countries or by restricted parties.

18. DMCA and Copyright Policy

18.1 Beatwork AI respects intellectual property rights and responds to valid DMCA

takedown notices.

18.2 Notices must include required information and be submitted to [email protected].

19. Force Majeure

19.1 Neither Party is liable for delays or failures caused by circumstances beyond

reasonable control, including natural disasters, strikes, power outages, internet failures, or

government actions.

20. Dispute Resolution

20.1 This Agreement shall be governed by the laws of the State of Delaware.

20.2 All disputes shall be resolved by binding arbitration under the American Arbitration

Association’s Commercial Arbitration Rules.

20.3 Class actions and jury trials are waived.

21. Miscellaneous

21.1 Severability: If any provision is found unenforceable, the remainder remains valid.

21.2 Assignment: Customer may not assign this Agreement without prior consent. Beatwork

AI may assign without restriction.

21.3 Entire Agreement: This Agreement constitutes the entire understanding and

supersedes prior agreements.

21.4 Notices: All legal notices must be sent to Beatwork AI’s registered address or official

email.

21.5 Survival: Sections relating to intellectual property, confidentiality, indemnification,

limitations, and dispute resolution shall survive termination.
